Authorized person (share ledger)

An authorized person is someone entitled to enter or change information in the share ledger for the company.

What is an authorized person?

An authorized person (Swedish: behörig person) may make changes to the share ledger on the company's behalf. Responsibility lies with the board, which may appoint administrators to handle entries. Someone representing a shareholder under a power of attorney may be authorized in a specific matter.

 

Authorized person, shareholder and beneficial owner

Authority is not the same as ownership. The shareholder is recorded as owner, and the beneficial owner is whoever ultimately owns or controls the company. In NVR, authorized administrators sign in with BankID, so every change can be traced.
