An incentive program (Swedish: incitamentsprogram) is a program in which employees, board members or other key people receive remuneration linked to how the company develops. Common forms are warrants, employee stock options and shares. Terms and vesting determine when the participant receives shares or can exercise their options.
An incentive program can cause dilution when options are exercised, so the program should be visible in the company's cap table and that new shares are entered in the share ledger. Tax rules differ between forms; Skatteverket provides guidance.
