An issue resolution is the formal decision to carry out a share issue, for example a new share issue or a bonus issue. It sets the terms: number of shares, price and who may subscribe.
Issue resolutions are normally made by the general meeting, or by the board under an authorisation, in accordance with the Companies Act. After the decision, the issue must be recorded as a share ledger event and with Bolagsverket.
